NeoMedia Revises its Mobile Marketing Strategy, Announces Sale of its Recently Acquired UK Subsidiary
FORT MYERS, Fla.--(BUSINESS WIRE)--NeoMedia Technologies, Inc. (OTC BB: NEOM) , said today that it is continuing to revise its mobile marketing strategy, announcing the sale of recently acquired Sponge Ltd., a subsidiary based in the U.K., back to its founders. Previously, NeoMedia had announced the signing of a non-binding Letter of Intent to sell its micro paint repair business unit in order to concentrate its corporate marketing resources on mobile marketing opportunities for its patented qode® product platform.
Charles T. Jensen, president and CEO of NeoMedia, said "that this agreement with Sponge is another significant step by company management to target corporate resources on the introduction of our patented qode suite of products in European markets and in North America and China. We decided it is in the best interest of our shareholders to continue to fine-tune our focus, trim our cash burn rate, and reverse substantial dilution."
Under the terms of the agreement, NeoMedia receives back from Sponge 33,097,135 shares of its own stock and $100,000 (net of attorney fees) in cash, and is due an additional $150,000 by March 7, 2007. NeoMedia also retains a 7.5% interest in the London-based company which develops and implements mobile marketing campaigns, mobile applications and delivers content for U.K. and international customers.
All other agreements of NeoMedia relating to the acquisition are terminated, including the purchase price guarantee clause which called for NeoMedia to make up, in cash, any decrease in the value of shares issued as consideration for the acquisition of Sponge. Based on NeoMedia's current share price, this obligation would have been in excess of $10 million.

The system, using standard camera phones functioning as mobile data recorders, will quickly provide awk's bill-posting staff with the information needed on its rounds. The phones also function as optical code readers and provide real-time information about billboard placement and condition to the awk resource planners. The awk field staff will be able to collate the codes on the advertising subjects with the location codes on the billboards, simply by using a camera phone. Photos documenting the condition of the advertising, along with other relevant information, will be automatically forwarded to the back-end server and to awk's resource management for further processing.

NeoMedia Sells Mobot and Retains Minority Stake
FORT MYERS, Fla.--(BUSINESS WIRE)--Moving to fulfill its planned consolidation of its mobile marketing strategy, NeoMedia Technologies, Inc. (OTC BB: NEOM), today announced the sale of its Lexington, Massachusetts-based Mobot subsidiary to its founders, while retaining a minority ownership in the company.
NeoMedia President and CEO Charles T. Jensen said, “This step moves NeoMedia closer to fulfilling its goal of being able to target all corporate resources on the continued enhancement and ongoing marketing and launch of our patented qode suite of products in Europe, North America and China. As with the planned sale of our micro paint repair business unit, and the sale of a U.K. subsidiary last month, we have, as promised to our shareholders, continued to focus on qode while cutting back our burn rate and reversing substantial dilution.”
Under the terms of the agreement, NeoMedia returned 82% of its ownership interest in Mobot, which was acquired in February of this year, while retaining 18% ownership in the company. In addition, all obligations under the original merger agreement, including the purchase price guarantee obligation, were terminated. Based on NeoMedia’s current share price, this obligation would have been in excess of $5 million. At closing, NeoMedia contributed $67,000 in cash to Mobot, and also entered into a promissory note for an additional $200,000 payable to Mobot by December 31, 2006 or earlier on the completion of the sale of NeoMedia’s Micro Paint Repair business.
NeoMedia received 16,931 “preference shares” in Mobot, which can be redeemed to reclaim the 16,931,493 original consideration shares issued by NeoMedia in its acquisition of Mobot. Each preference share can be redeemed for 1,000 shares of the NeoMedia common stock within 15 months of the closing of this transaction. After 15 months, the preference shares can be redeemed upon a liquidation event of Mobot for either 1,000 shares of NeoMedia common stock each, or for the then-current cash equivalent of the shares.
NeoMedia also received a limited exclusive license to access Mobot services for integration with barcode-related applications.
“As a nearly one-fifth owner -- and as a licensee of Mobot services as they relate to barcode applications -- NeoMedia believes in Mobot’s technology and management team,” Mr. Jensen said.
“Moving forward, NeoMedia will continue to concentrate on developing and marketing its expertise on next-generation mobile applications and opportunities, especially for our qode direct-to-mobile-web cell phone technology,” Mr. Jensen said.

NeoMedia Technologies, Inc. (OTC BB: NEOM), announced today that its patented qode(R) technology, which links users via cell phones to the Mobile Internet, will be used by Prentice Hall, a worldwide leader in text book publishing, to help communicate with its sales force. Prentice Hall is currently introducing qode to its sales force at a national sales meeting in Phoenix.
Eric Frank, director of marketing, Business Publishing for Pearson Prentice Hall said qode will be an "integral component" of the seven-day meeting at the J.W. Marriott. Prentice Hall, he said, will use qode as an "ice-breaker" from the beginning of the meeting, and will have its sales staff enter daily contests through active personal interaction, all powered-by qode. When the national sales meeting is over, he said, the Prentice Hall sales staff will take qode with them, on their cell phones, as they work. Initially, they will use qode to receive sales tips and "talking points" on some 40 titles.
"Our team is very excited about using qode in our internal and external marketing efforts," Mr. Frank said, noting that sales staff "will also be enabled to demonstrate the interactive features of the "Marketing: Real People, Real Choices 5/e," text book.

NeoMedia - Cornell Capital in Funding Agreement
NeoMedia also said that on December 29, 2006, it entered into a Securities Purchase Agreement with Cornell Capital Partners, LP, selling $2,500,000 of secured convertible debentures to Cornell which can be converted into shares of NeoMedia common stock. In connection with the transaction, NeoMedia also issued 42 million warrants to Cornell with an exercise price of $0.06 per share, and repriced 210 million warrants held by Cornell to $0.04 per share. For a period of six months, NeoMedia has the right to redeem the repriced warrants on a cashless basis at a price of $0.12 per share.
Charles W. Fritz, NeoMedia's chairman and interim CEO, said that he and the company's Board "are pleased that Cornell has stepped up to help us meet current and near-term obligations.
