ITEM 3.03 MATERIAL MODIFICATION TO RIGHTS OF SECURITY HOLDERS

On February 29, 2008, a wholly-owned subsidiary of GreenShift Corporation
(the "Subsidiary") that owned 90% of the outstanding shares of GS AgriFuels,
filed with the Delaware Secretary of State a Certificate of Ownership and Merger
merging Subsidiary into GS AgriFuels Corporation. The effect of the merger is
the following:

- The shares of GS AgriFuels ceased to be outstanding at the close of
business on February 29, 2008.

- On March 27, 2008 GS AgriFuels will pay $.50 per share to the record
holders of common stock as of February 29, 2008 other than Subsidiary.

- GS AgriFuels Corporation has become a 100%-owned subsidiary of GreenShift
Corporation.

They might be all done..here's why:

The outstanding at the time of the drawdown was what? 920MM shares or so? They are allowed to take down a maximum of 4.99% of the o/s at any one time. 4.99 X 920MM is close to 46,000,000. Now why would they take down only 42MM instead of the full 46MM. It could be because they are all done!

gleich bei Seaway?

Wäre auf jeden Fall überfällig und endlich schliessen wir mal
wieder im Plus.

Hirschi lass das Röhren sein du verscheuchst ja alle potentiellen
Anleger und dem Kurs machst du auch Angst ;-)))

Die news bei GERS haben damit erstmal nix zu tun !
Ob wir mit GERS in irgendeiner Weise noch was zu tun haben weiss ich nicht...
Fact ist nur...Tom hat diese ex-GS Shell mit Schulden übernommen...und ich glaube kaum dass er seinem Kameraden KK einen gefallen tun wollte.

Scahut euch die PR's auf der Seawayseite an...alles Wahrheit geworden 23 von 23 Meldungen...warum sollten die 3 obigen Punkte dann Fluff sein ???  ;)
Abgesehen von Shareholder Wealth und buybacks and/or dividents !!!!

Alles braucht seine Zeit und gut dass Tom erst dann News bringt wenn der alte Cornellaffe draussen ist !!!!!!!!

glaubst du wirklich der bringt erst eine News nachdem Cornell draussen ist???
wäre uns natürlich zu wünschen denn das wäre eine echt geniale Sache,

It is likely, however, that expansion will occur only after all five former WiseBuys stores are fully converted. Management has also identified approximately $500,000 in immediate potential expense reductions by combining the two companies into one.

Recently Seaway Valley announced that it executed a term sheet and is in final negotiations to acquire a regional hospitality and consumer products company with recent revenues and assets of approximately $5 million and $13 million, respectively. The company, which has gross assets of approximately $13 million and revenues of just over $5 million, specializes in consumer products and is based in Upstate New York region.

Seaway Valley is also in preliminary discussions with three other acquisition / investment candidates. These include: (i) one regional retailer, (ii) one regional retailer and wholesale distributor, and (iii) one national consumer products company. All discussions are considered serious but are still in the very early stages. Aggregate revenues of all three are projected to be in the $22-$24 million range for 2008.
