nacktes Shortselling. Dabei hat man versucht, sich an Verkäufe des Managements anzuhängen, die nach meiner Einschätzung ausschließlich steuerlich bedingt sind.

Denn das folgende ist nun einmal Fakt, was man in der neuesten Presentation lesen kann:

"Management are buyers!

Senior execs have exchanged bonuses for 235,000 shares in the last 18 months!"

Diese Umwandlung von Ansprüchen von ca. 400.000 Dollar war freiwillig - und da logischerweise Gehaltsbestandteile sind, fällt auch Einkommensteuer an. Und nach meiner Einschätzung dienen die Verkäufe genau diesem Ausgleich.

Logischerweise wäre es noch besser, wenn man diese Steuern aus dem Vermögen gezahlt hätte, aber das machen die Chefs von Microsoft, Google oder Facebook auch nicht. Denn die sind zumindest an einer gewissen Streuung ihres Vermögens interessiert.

 

Verschuldung sind schlichter Unfug:

The convertible notes mature on April 11, 2015.

Ich schließe nicht aus, dass die Square vielleicht einmal damit geliebäugelt hat, mit dem Criminal Crime behind The Street Sweeper gemeinsame Sache zu machen. Mit einer Kreditikündigung hätte man versuchen können, sich die Assets von Local Corp für wenig Geld zu räubern, denn dummerweise hat Local Corp damals - vermutlich als Gegenleistung für den niedrigen Zinssatz von 5% - seine Assets für den Kredit verpfändet. Nun ist eine Kreditkündigung des Basiskredits vor Ende der Laufzeit ohne Grund nicht möglich - aber man hat dann beim varablen Teil eine Rückzahlung in Raten geforrdert, die Local Corp inzwischen weit übererfüllt hat. Logischerweise ist auch das Management in Sachen Square-Bank auf ähnlich Vermutung gekommen wie ich - und das dürfte auch ein wesentlicher Grund gewesen sein, dass man die riskante Wachstumsstrategie mit einem anfangs nur Geld fressenden Außendienst gestoppt hat, um einen postiven Cash Flow zu erzielen. Außerdem hat man noch eine Wandelanleihe über 5 Millionen aufgelegt, um die Liquidität zu stärken - mit 7% und ergänzenden Warrants war die nicht ganz billig, aber die Assets waren nun schon einmal an die Square-Bank verpfändet. Ursrpnglich hat man mit diesem Kredit der Square-Bank die 15 Millionen für Spreebird finanziert und glaubte den Kredit aus dem Cash Flow von Spreebird schnell tilgen zu können - dass daraus nichts wurde, haben wir hier ja schon ellenlang diskutiert.

Erstaunlicherweise gelingt es aber dem Criminal Crime behind The Street Sweeper seinen Lemmingen immer noch den Bären von der kurz bevorstehenden Pleite aufzubinden. Die Frage ist allerdings: Wie lang noch, da überhaupt nichts dran ist.

Naked Short Selling: The SEC's Tall Task Ahead

In another non-surprise to Wall Street Insiders and massive surprise to the common investor, the SEC handed out several naked short selling fines over the last month, to prove to casual investors that they are still "looking out for the little guy".

The Wall Street Journal reported:

Jonathan Feldman, who was accused by the SEC of trading billions of dollars of stock and options in ways that misled other investors, was found by the judge to have engaged in a practice regulators say has grown more prevalent in recent years: "naked short selling."

The decision makes it more likely the SEC will proceed with other enforcement cases involving similar activity, say people familiar with the SEC's thinking.

Many investors are hoping that the recent light shed on naked short selling, and the corresponding actions by the SEC are paving the way for the SEC to seriously go after what some people call the biggest problem on Wall Street - selling stock that doesn't technically exist.

Das Abschütteln dieser Schmeißfliegen ist nun einmal ein langer Prozess, aber ich gehe doch davon aus, dass er gelingt, denn das sind nicht nur Parasiten, die dem Anleger die Butter vom Bort fressen, sondern auch Schädlinge, denn sie produzieren Unsicherheit, die den Kuchen, den man verteilen kann, zu einem Küchlein werden lässt.

Was vor allem noch entwickelt werden muss, ist eine Kultur der Ächtung der Schmeissfliegen - wer mit den Schmeißfliegen zusammen in einer Loge in Bayreuth sitzt, muss zu einer Unperson werden.

Facebook has 15.6-times-revenues, Local Corp 0.4-times-revenues. if the revenues of Local Corp were value like the revenues of Facebook, the market-cap must be 1,417 milion against the 36 million of today.
