he new firm will be incorporated in Belgium and headquartered in London with operations in Australia, Belgium, France, the Netherlands and the USA.
It also will have joint ventures in Australia, China and France as well as a 24.9 per cent interest in Padaeng Industry Public Company Limited in Thailand.
Zinifex contributed 60 per cent of the assets to the new company, but it will be structured on an equal ownership basis with a payment to be made to Zinifex from debt raised by Nyrstar.
“Today marks the birth of Nyrstar, the world's largest zinc producer,” chief executive officer Paul Fowler said. Nyrstar took ownership of the assets on August 31.
“With a global presence, sophisticated operations and high quality products, we are well positioned to benefit from increased economies of scale and synergies across our asset base.”
Mr Fowler said he expected further industry consolidation.
“As the largest producer of zinc in the world, we expect to play a leading role in the development of the industry, including helping to consolidate the currently fragmented zinc industry.”
The new company will also be one of the largest primary lead smelting and refining companies in the world.

Zinifex and Drake Resources expand Queensland zinc quest
Cashed up zinc miner and refiner Zinifex has expanded its exploration alliance in north Queensland with Melbourne-based junior explorer Drake Resources to now embrace new areas covering more than 100 square kilometres.

The base metals search by Zinifex Ltd (ASX: ZFX) and Drake Resources Ltd (ASX: DRK) clearly has zinc in mind by applying for what they called the Werrington exploration permit between the ground already held in the Georgetown Block and the historic gold mining town of Charters Towers.
The main zinc anomaly at Werrington is considered to already have a 6 kilometres strike.
Drake's managing director, Dr Bob Beeson, said today that the application area contains three untested stream sediment zinc anomalies with values over 200 ppm zinc.
"A systematic approach using airborne geophysics and detailed surface sampling will quickly lead to a selection of drill targets prospective for Broken Hill-type deposits," Beeson said.
The Drake-Zinifex alliance is a pact to seek zinc prospects and development opportunities in some of the most prospective areas in the world. The quest is taking the partners to mineral provinces in Australia, Scandinavia, North America and southern Africa.
Drake manages the alliance which is funded jointly with cash and in-kind contributions. Any project identified but not accepted by Zinifex can be taken up by Drake. Areas accepted by the alliance will become a joint venture, initially sole funded by Zinifex and with Drake having the right to between 30% and 10% or to dilute to a royalty interest.
Zinifex, born out of the disastrous Pasminco Ltd, will early next year come under the management of former WMC Resources chief executive Andrew Michelmore after the departure of Greg Gailley who transformed the company back into being one of the world's most powerful zinc miners and producers. It operates the big Century base metals mine in Queensland, the durable zinc-silver operations at Rosebery in Tasmania and has several projects into feasibility studies - including Dugald River in the Northern Territory, the Izak copper-zinc-silver project and the Lupin gold mine, both in the Yellowknife region of Canada.
Zinifex and the other leading global zinc and base metals refiner Umicore pooled their global plants for the multi billion dollar Nyrstar float.
