The Special Warrants will automatically be exercised, for no additional  consideration, for one common share of the Corporation (a "Common Share") and one common share purchase warrant (a "Warrant") upon receipt of Vista's shareholders' approval of the private placement (the "Shareholders' Approval").  Each Warrant will be exercisable over a five-year period from the  closing of the private placement, to purchase one Common Share (a "Warrant Share")  at a purchase price of U.S.$3.50 during the first year, U.S.$4.00  during the second year, U.S.$4.50 during the third year and U.S.$5.00  thereafter until the expiry of the Warrant. If the closing price of the  Common Shares on the NYSE Amex Equities Stock Exchange is at least 35%  above the current Exercise Price of the Warrants for a period of 15  consecutive trading days, then the Corporation will have the option to  request that the Warrants be exercised. If the Warrants are not  exercised within 25 business days following this request, they will be  cancelled.  The Corporation anticipates requesting the Shareholders'  Approval at a Special Shareholders' Meeting to be held prior to the end  of this year.

Wenn ich das richtig verstehe:

Am 22.11.2010 wurden diese neuen "Special Warrants" ausgegeben. Sollte der Aktienkurs 15 Tage nach Ausgabe der Warrants, der AMEX Kurs 35% über 3,50 US$, also bei mindesten 4,72 US$ liegen, kann Vista Gold die Ausübung einfordern. Sollten daraufhin weitere 25 Business Days ohne Ausübung der Besitzer der Warrants vergehen, darf Vista Gold die nicht ausgeübten Warrants einziehen, bzw. löschen lassen.

Sehe ich das richtig, dass im Interesse von Vista Gold, der Aktienkurs an der AMEX bis 13.11.2010 bei über 4,72 US$ liegen sollte oder eher sogar im Interesse der Warrant Besitzer?! Könnte es nicht sogar sein, dass die Warrantbesitzer den Kurs absichtlich hochkaufen wollen? Mir ist die Logik nicht ganz klar. Hat jemand Erklärungen?

Vista Gold Corp. ("Vista" or the "Corporation") (TSX & NYSE Amex:  VGZ) today announced that it has closed its previously announced  repurchase of an aggregate of US$5,667,000 in principal amount of its  10% senior secured convertible notes (the "Notes") due March 4, 2011 from a Noteholder, pursuant to the terms of a repurchase agreement dated May 13, 2010 (the "Agreement").

Under the terms of the Agreement, Vista paid the Noteholder  US$2,232,798 in cash and 1,902,684 in common shares in the capital of  the Corporation in consideration for the Notes and interest due to  maturity.  The common shares were issued at a price of US$2.15 per  share.  Vista's weighted average price per share was US$2.32 on the NYSE  Amex Equities Stock Exchange for the five trading days before the  execution of the Agreement.

 

The Notes repurchased by Vista have been cancelled, and US$23 million principal amount of Notes remain outstanding.

 

Wenn ich das nun richtig verstehe, waren nach dieser News vom Mai noch Notes im Wert von 23 Mio US$ am Markt. Diese werden nun alle, nach Genehmigng, in naher Zukunft durch die neueste Finanzierung aufgekauft! D. h. es ist demnach keines dieser Papiere mehr am Markt. Ist das nun positiv?

würde gern einsteigen, ich überlege aber noch, da ich mit VIPR Gold, so wie es aussieht, ins Klo gegriffen habe. Hier scheint es anders zu sein. Wo habt Ihr gekauft? In D oder US?

Ich denke VGZ ist hier wohl kein Vergleich! Bin sehr optimistisch, was VGZ weiteren Kursverlauf angeht!

Vipr ist echt ins bodenlose gefallen, obwohl da ja immer wieder vom Hoffnungsschimmer Uran gesprochen wird. Es wird im Ihub aber auch spekuliert, daß das ganze ein Betrug war und der CEO angeblich ein Schauspieler ist. Vipr war und ist ein Pennystock, aber Vista ist es ja nicht, deshalb glaub ich schon, daß das hier Substanz hat.
Hm, muß mich mal einlesen.

Ich deute das so:

Alles was ein Rückkauf ist, sehe ich immer im Sinne des Unternehmens (d.h. der dann noch vorhandenen Aktionäre) als positiv. Ähnlich wie Tilgung von Darlehen.

Positiv sehe ich Ausübungen von Optionen. Demnach ein Verfall von Optionen als negativ.

 

So ähnlich sehe ich das eigentlich auch. Die Wandelanleihen können durch die bereits abgeschlossene Finanzierung nun wohl kompl. zurückgekauft werden. Es bedarf wohl noch der Genehmigung der Aktionäre und der Börse. Wenn ich mich richtige eingelesen habe, müsste diese Genehmigung bis Mitte November auf dem Tisch liegen.

Auch sehe ich den Verfall an Optionen eher negativ, da hier kein weiteres Geld in die Kassen des Emmitenten, i. d. F. VGZ, gespült würde.

Aufwärtstrend jedoch voll in Takt... kann aber noch günstiger werden... bleibe drin, da Chart grün!

Bin heute Vormittag ausgestoppt worden. Naja selber schuld, hatte den SL zu früh nachgezogen. Werde sehen ob ich morgen nochmal rein komme.

Also sollte der Aufwärtstrend sich weiter etablieren, sollte sich in dieser Region um die 2,80 US$ ein Boden bilden, der den nächsten Aufwärtsschub einleiten könnte.
