Unverbindlich anschauen!

Symphonix Devices, Inc. Initiates Legal Action Against Soundtec, Inc. and Key Soundtec Executives

Premier International Otologic Surgery Group Awards First Prize for Symphonix'
Scientific Paper, Dedicates Symposium to the Vibrant(R) Soundbridge(TM)
COURCHEVEL, France, Jan. 24 /PRNewswire-FirstCall/ -- The Politzer Society, a
global consortium of leading otologic surgeons, has awarded top honors to
Symphonix(R) Devices, Inc. (Nasdaq: SMPX) at its 23rd Annual Meeting, selecting
the company's clinical paper for a first prize award and offering a dedicated
symposium on the company's Vibrant Soundbridge implantable middle ear hearing
device (IMEHD).
"Symphonix is honored to be called out with such distinction by the Politzer
Society, the veritable 'who's who' of the international otologic surgery
community," said Kirk Davis, president and Chief Executive Officer, Symphonix
Devices, Inc. "We're pleased to have created excitement among this prestigious

finalist papers.
As part of its four-day scientific program, the Politzer Society's dedicated
symposium on the Vibrant Soundbridge addressed key clinical findings supporting
the safety and efficacy of the Vibrant Soundbridge as well as data documenting

We have incurred losses every year since we began operations. At September 30, 2001, we had an accumulated deficit of $79.7 million. This deficit resulted primarily from expenses we incurred from dedicating, since our inception in 1994, substantially all of our resources to research and development, clinical trials, establishment of a European sales and marketing organization and the initiation of sales and marketing activities in Europe. Even though Vibrant P and Vibrant D Soundbridges became available for sale in the European Union in 1998 and in the United States and Canada in 2000, we have not generated significant revenues from product sales to date. We may never realize significant product revenues. We expect our operating losses to continue at least through the year 2001
While we believe that the net proceeds of approximately $5.0 million from the private placement offering to Siemens Audiologische Technik GmbH and the approximately $26.0 million from the recent private placement to other investors, together with our previously existing capital resources and projected interest income, will be sufficient to fund our operations and capital investments through July 2002, we may require additional financing after that time
SYMPHONIX MAY BE DELISTED ON THE NASDAQ NATIONAL MARKET.
The minimum per share bid price required under market place Rule 4450(a)(5) to maintain a listing on the Nasdaq National Market is $1.00. Our common stock has traded below $1.00 since August 2, 2001
Symphonix Announces Dissolution of Its Business
Updated: Thursday, November 14, 2002 08:07 AM ET Printer-friendly version
SAN JOSE, Calif., Nov. 14 /PRNewswire-FirstCall/ -- Symphonix Devices, Inc. (Nasdaq: SMPX, news) announced today that its Board of Directors has unanimously deemed advisable the dissolution of the company and approved a plan of complete liquidation and dissolution of its business. The Board of Directors made this decision after an unsuccessful process of pursuing various strategic alternatives, including potential partner arrangements and a sale of the company outright.
Kirk Davis, CEO and a Director of the company stated, "The slow market adoption of the Vibrant Soundbridge combined with the difficult current financing environment has led us to make this very difficult decision. However, upon careful consideration from our Directors, Officers and advisors, we believe that this action is in the best interests of our stockholders."
Symphonix expects to submit the plan of complete liquidation and dissolution of its business to stockholders for approval at a special meeting of the stockholders to be held on a future date to be set by the Board of Directors.
Statements made in the press release regarding the dissolution of the Company are "forward-looking statements" and are subject to a number of uncertainties that could cause actual results to differ materially from the statements made. Such risks and uncertainties include but are not limited to a decision by the Company's Board of Directors to pursue other alternatives, such as bankruptcy. Further information on potential factors that could affect the Company's dissolution is included in the Company's Form 10-Q for the quarter ended September 30, 2002 filed with the Securities and Exchange Commission.
