TORONTO, May 31, 2013 /CNW/ - New Gold Inc. ("New Gold") (TSX and NYSE MKT:NGD) and Rainy River Resources Ltd. ("Rainy River") (TSX:RR) today jointly announce that they have entered into a definitive acquisition agreement (the "Agreement"), whereby New Gold will offer to acquire all of the outstanding common shares of Rainy River through a friendly take-over bid. Under the terms of the Agreement, New Gold will offer, at the election of each holder of Rainy River common shares, 0.5 of a common share of New Gold or $3.83 in cash, in each case subject to pro ration (the "Offer"). The Offer represents a premium of 42% over the closing price of the Rainy River shares on the Toronto Stock Exchange on May 30, 2013, the last day of trading prior to announcement of the Offer, and a 67% premium to Rainy River's 20-day volume weighted average trading price. The maximum number of New Gold shares to be issued will be approximately 25.8 million and the maximum cash consideration will be approximately $198 million. The Offer values the fully-diluted in-the-money share capital of Rainy River, net of Rainy River's current cash balance, at approximately $310 million..

Der kanadische Goldproduzent Monument Mining (WKN A0MSJR) hat vor Steuern und einmalig anfallen Bilanzposten in seinem dritten Geschäftsquartal einen Gewinn von 9,953 Mio. USD erzielt. Auf Grund der vorzeitigen Tilgung von Wandelschuldverschreibungen und damit verbundenen Optionen, Abschreibungen und eines juristischen Vergleichs verbucht das Unternehmen allerdings einen Nettoverlust von 12,973 Mio. USD..

Anybody halfway attuned to the markets knows that copper has been a 21st-century rock star. No longer just a boring industrial metal, copper is a flamboyant asset that has made fortunes for investors and speculators. It’s soared a staggering 662% from its 2001 low to 2011 high. And still today in the $3.25 region copper is nearly four-fold its 20-year pre-bull-market average.
Copper’s journey has of course played out under an umbrella of structurally strong fundamentals, but by no means has it been a lucid and linear trek. Copper is a commodity after all, and volatility comes with the territory. Over the last dozen years it’s seen wildly exuberant uplegs as well as crushing selloffs.
Driving copper’s interim movements are a confluence of fundamental, technical, and sentimental drivers. And provocatively one of the stickiest in recent years is the flagship S&P 500 stock index (SPX). Global mining sector facing ‘crisis of confidence’: Hein Boegman - mining leader for Africa, PwC
HILTON TARRANT: The 10th edition of PwC’s Annual Global Mining Survey, entitled “Mine: A Confidence Crisis” came out today. It paints a bleak picture of a sector facing flat revenues, declining profits and share prices at their lowest levels in years and sometimes decades.
Hein Boegman is PwC’s mining leader for Africa. The survey uses financial information for the 2012 financial year. Hein, some of that stretched back into 2011 and, looking at the top 40 mining companies in the world, obviously that includes Anglo American and BHP Billiton. Of local interest, AngloGold Ashanti, Gold Fields and Impala Platinum are included in that sample of 40 companies.
This report paints almost a complete loss of confidence in nearly every aspect of the mining sector.
HEIN BOEGMAN: Thank you first of all for the opportunity, Hilton. If we look back to 2005, when we spoke about the entering of the Dragon, the China interest into the mining industry, then the good times rolling up to 2008, when it got ugly and when “The going gets tough” was our title then, back to the boom and the rebound in the last two or three years, with this growing disconnect. And this year we call it a “confidence crisis” in that the market seems to be valuing companies at a particular level, whereas the industry seems to think that some of the good things that they are doing go unrewarded. And I think that is perhaps where this disconnect comes from..
