FFP Entertainment klagt gegen Team Communications

Los Angeles, 06.09.2000 - FFP Entertainment hat beim Federal Court in Los Angeles Klage wegen Vertragsbruchs gegen die TEAM Communications Group und deren CEO Drew Levin eingereicht. TEAM wird vorgeworfen, im Rahmen des geplanten Joint-Ventures nicht vereinbarungsgemäß innerhalb von drei Wochen 800.000 Aktien bei einem Treuhänder hinterlegt zu haben. Außerdem habe sich TEAM geweigert, seine Verpflichtungen hinsichtlich der Durchführung des Vertrags zu erfüllen. Nachdem TEAM im Juli eine Frist zur Vertragserfüllung hatte verstreichen lassen, war von FFP erklärt worden, dass man künftig jede Erfüllung des Vertrags durch TEAM ablehnen werde.TEAM hatte Anfang der Woche bekannt gegeben, dass das Joint-Venture nicht zustande kommen werde und man über andere Formen der Zusammenarbeit nachdenke (wir berichteten). Laut FFP ist eine weitere Zusammenarbeit derzeit jedoch nicht geplant.

Da das Joint-Venture mit FFP (Frankfurter Film Produktion) immer unwahrscheinlicher wird, empfehlen die Analysten des Börsenbriefes „Smallcap-Investor“ die Aktie des amerikanischen Medienunternehmens TEAM Communications Group (WKN 917002) zum Kauf.

Das Wegfallen des Joint-Ventures werde positiv eingestuft, da FFP besonders im Bereich Auftragsproduktion für deutsche Sender einen Namen habe, sich jedoch mit der reinen Auftragsproduktion heute kaum noch Geld verdienen lasse.

Unternehmerisch interessanter sei die weltweite und unabhängige Vermarktung wie sie TEAM betreibe. FFP habe abgesehen vom Bereich Auftragsproduktionen nur noch Produktionskapazitäten, Know-How und Beziehungen zu bieten. Darüber verfüge TEAM aber auch. Aus informierten Kreisen sei bekannt, dass FFP eher im Stile eines publikumsscheuen Familienunternehmens geführt werde. Daher bezweifle man, ob FFP sich der Philosophie eines Shareholder-Value getriebenen Unternehmens schnell anpassen könne, seien ohnehin einige Deliverables und Deadlines von FFP nicht erfüllt worden.

Die konsequente Entscheidung des Managements werde begrüsst und aufgrund des Wegfalls des Joint-Ventures, welches ohne Zweifel den Kurs weiter belastet hätte, erwarte man ein Kursziel von 20 Euro auf 12-18 Monate.

Naja, dem Kurs scheint die schlechte News auf den Magen zu schlagen...

FFP Files Complaint Against TEAM in Los Angeles For Breach of Contract and Fraud

COLOGNE,  Germany, Sep 6, 2000 /PRNewswire via COMTEX/ --  FFP Entertainment
GmbH (FFP) today filed a complaint in the Federal Court for Los Angeles against
TEAM Communications Group, Inc. FFP claims TEAM has failed to honor the notarial
signed contract of April 27, 2000 and that TEAM has acted fraudulently against
FFP.

FFP alleges that, despite its contractual obligations and several demands on the
part of FFP, TEAM has failed to honor its promise to deposit 800,000 shares into
an escrow account within three weeks after signing the contract. FFP also claims
that TEAM has refused to fulfill other contractual obligations as specified in
the contract.

Due to TEAM's conduct, FFP had set a one week deadline on June 27 in which TEAM
was required to declare its willingness to fulfill the completed agreement.
After this deadline had expired without the action demanded, FFP declared on
July 7 that FFP would reject any fulfillment of the contract by TEAM in the
future. No later than July 7, TEAM was aware that its transaction with FFP will
not go forward.

FFP bases its complaint against TEAM for damages in principal due to breach of
contract anf repudiation of the contract on the part of TEAM. The portion of the
Complaint filed with the court is directed personally against Drew Levin, CEO of
TEAM, alleging fraud.

FFP declares that neither in the past nor the present have negotiations between
TEAM and FFP taken place regarding any "new forms of cooperation". Nor has TEAM
presented to FFP any proposal for such a new cooperation. It is FFP's position
that the press announcement by TEAM Communications, Inc. dated September 1, and
the announcement of TEAM Entertainment GmbH dated September 4, do not accurately
reflect the facts.
