INCORPORATION OF A NEW SUBSIDIARY IN SINGAPORE, HOLMEN HEAVYLIFT OFFSHORE PTE. LTD.

The Board of Directors of Swiber Holdings Limited (the “Company”) and together with its subsidiaries (the “Group”) wishes to announce that the Company has incorporated a new wholly-owned subsidiary in Singapore, known as “Holmen Heavylift Offshore Pte. Ltd.” (“HHO”). The initial issued share capital of HHO is US$100.00. HHO is an investment holding company.
The transaction is funded through internal resources and is not expected to have any material financial impact on the consolidated net tangible assets per share and consolidated earnings per share of the Company and its Group for the current financial year ending 31 December 2011.
None of the Directors or controlling shareholders of the Company has any interest in the above transaction, save for their interests arising by way of their shareholdings and/or directorships, as the case may be, in the Company and HHO.

Pleite sieht anders aus, meiner Meinung nach und nach dem Lesen des Attachments vom 11.Oktober 2001  auf der Homepage www.swiber.com/ mit zwei neuen Aufträgen im Wert von 102 Mio US$

CONVERTIBLE INTO ORDINARY SHARES IN THE CAPITAL OF SWIBER HOLDINGS LIMITED IN LIMITED
CIRCUMSTANCES
The Board of Directors of Swiber Holdings Limited (the “Company”) wishes to announce that the Company is
considering, in the event that market conditions are favourable, that it may issue cumulative non-voting
perpetual preference shares, convertible into ordinary shares in the capital of the Company in limited
circumstances in accordance with the Articles of Association of the Company (the “Preference Shares”). Any
offering of the Preference Shares (the “Offering”) is intended to be made pursuant to exemptions invoked under
Section 274 and/or Section 275 of the Securities and Futures Act, Chapter 289 of Singapore.
Further details of the Offering (if any) will be announced at a later date.
None of the directors or substantial shareholders of the Company have any interest, direct or indirect, in the
issue of the Preference Shares.

The Board of Directors of Swiber Holdings Limited (the “Company”) and together with its subsidiaries (the
“Group”) wishes to announce that Newcruz International Pte. Ltd. (“NIPL”), a wholly-owned subsidiary of the
Company, has incorporated a new wholly-owned subsidiary in Singapore, known as Newcruz Offshore Services
Pte. Ltd. (“NOS”). The initial issued share capital of NOS is US$10.00.
NOS will be principally engaged in owning and chartering of vessels.
The transaction is not expected to have any material financial impact on the consolidated net tangible assets per
share and consolidated earnings per share of the Company and its Group for the current financial year ending 31
December 2012.
None of the Directors or controlling shareholders of the Company has any interest in the above transaction, save
for their interests arising by way of their shareholdings and/or directorships, as the case may be, in the Company,
NIPL and NOS.

und ich sind uns jetz nicht sicher, wie man diese Nachricht bewerten kann. Eine neue 100%-ige Tochtergesllschaft. Ist das was gutes? oder nicht?  

Die Übersätzung ist echt ein schei.....
Ich kann Dir auch nicht genau sagen, was genau das aussagen soll.
Was meinst Du? Schlecht hört sich das ja auch nicht gerade an oder?

Das Board of Directors von Swiber Holdings Limited (das "Unternehmen") und zusammen mit ihren Tochtergesellschaften (die
"Gruppe") möchte, dass Newcruz International Pte bekannt zu geben. Ltd ("NIPL"), eine hundertprozentige Tochtergesellschaft der
Company, hat eine neue Tochtergesellschaft in Singapur, als Newcruz Offshore Services bekannt eingebaut
Pte. Ltd ("NOS"). Die ersten ausgegebenen Aktienkapitals der NOS ist US $ 10,00.
NOS wird in erster Linie in den Besitz und die Vercharterung von Schiffen beschäftigt werden.
Die Transaktion wird voraussichtlich keine wesentlichen finanziellen Auswirkungen auf die konsolidierte Nettovermögen pro haben
teilen und das Konzernergebnis je Aktie der Gesellschaft und ihrer Gruppe für das laufende Geschäftsjahr zum 31.
Dezember 2012.
Keiner der Direktoren oder Controlling Aktionäre der Gesellschaft hat ein Interesse an der oben genannten Transaktion zu retten
für ihre Interessen, die sich durch ihre Beteiligungen und / oder Aufsichtsratsposten, wie der Fall auch sein mag, in der Gesellschaft,
